The annual financial statements are the fundamental document through which companies communicate their economic and financial position to shareholders, banks, suppliers and the tax authorities. Studio CITI snc prepares financial statements with the utmost accuracy, complying with Italian national accounting standards (OIC) and the provisions of the Civil Code (Articles 2423-2435 bis).
For corporations, the financial statements consist of a balance sheet, income statement and explanatory notes. Micro-enterprises meeting certain size thresholds may use an abbreviated balance sheet (Article 2435-bis of the Civil Code) or the super-abbreviated format for micro-enterprises (Article 2435-ter of the Civil Code), with reduced obligations and disclosure requirements. The firm assesses with the client the applicable and most advantageous form of accounts.
The preparation process includes: closing entries, adjusting entries (accruals, deferrals, depreciation, write-downs, provisions), preparation of mandatory appendices, the management report where required, and explanatory notes. The financial statements are then approved by the shareholders' meeting and filed with the Companies Registry within the legal deadline (30 days from approval).
The firm also prepares interim financial statements (accounting reports at 30 June or other dates requested by the client), useful for management monitoring, applications for bank financing, commercial negotiations or extraordinary requirements.
Frequently asked questions
By when must I file the financial statements with the Companies Registry? +
The financial statements must be approved by the shareholders' meeting within 120 days of the end of the financial year (or 180 days in special cases provided for by the articles of association). After approval, filing with the Companies Registry must occur within 30 days by electronic submission. For a financial year ending on 31 December, the ordinary deadlines are therefore approval by 30 April and filing by 30 May.
Do sole traders need to prepare financial statements? +
No, sole traders and partnerships are not required to prepare financial statements in the format prescribed for corporations, nor to file them with the Companies Registry. However, the firm prepares for these clients a year-end accounting report (simplified balance sheet and income statement) useful both for management purposes and for completing tax returns.
What does the explanatory notes section include and what is it for? +
The explanatory notes are an integral part of the financial statements and provide detailed information on the valuation criteria adopted, movements in fixed assets, the composition of certain balance sheet items, and transactions with related parties. Their purpose is to complete and clarify the information contained in the balance sheet and income statement, increasing transparency for the users of the accounts.
